This workshop will focus on tools to assist the board build the strategic value of the business to maximise exit value while maintaining alignment of interests between founders and investors. It will set out a “Strategic Exit Road Map” for the board that will help them identify the company’s strategic assets and competencies which are likely to represent the highest value in the minds of acquirers, track relevant industry transactions, position the company to be highly visible, and build exit competency’s within the team. It will discuss the role of advisors and the range of advisors and skills required to achieve a sale. It will review the process from initial planning and timescales, ensuring the company will meet due diligence requirements, and ensuring someone keeps running the business and maximises the value of the company.

FACILITATORS
Nelson an Angel investor for 20 years is a member of groups in Scotland and the USA. Presently with 16 live investments (9 in the US, 7 in the UK) 8 winners and a bunch of “learning experiences”. A director of LINC Scotland, a trustee of the USA based Angel Resource Institute, a charitable organisation devoted to providing education and information on best practices on angel investing and a former Vice President of EBAN, the European Trade Association for Business Angels, Nelson is recognised internationally as a “thought leader”. He has provided advice to Angel investors, government and entrepreneurs and in many counties across Europe and further afield, including the USA, Chile, India, Australia, Kazakhstan and New Zealand and helped to build Angel investment groups in Scotland, Latvia, Jordan, Russia and the Caribbean. He was European Angel of the Year in 2008, is a member of the investment committee for the British Governments £100 million UK Angel Co-investment fund and is tasked by the World Bank to develop Angel investing in developing regions. He has contributed to a number of recent publications including “Creating Angel Investor Groups: International Edition”, The World Bank, 2014 and “Angels without Boarders, Trends and Policies Shaping Angel Investing Worldwide”, World Scientific, 2015.Awarded the Queens Award for Enterprise Promotion in 2015
Mary Jane Brouwers
Mary Jane has worked in equity investments since 1997 when she joined the team that became Bank of Scotland Growth Equity, managing a portfolio of companies ranging from SME to FTSE. While working at Bank of Scotland Mary Jane was a director of First Welsh General Investment Trust Limited, a bank subsidiary. Subsequently she worked as an Investment Manager for the Scottish Investment Bank for two years before joining Archangels, Scotland’s most successful business angel group, as an Investment Executive in 2010. At Archangels she was responsible for reviewing new investment proposals as well as the active portfolio management of investee companies. Mary Jane was appointed to the board of Edinburgh Instruments Limited as the Scottish Enterprise NXD in 2010 and played an active role in developing the commercial focus of the company, resulting in significantly increased sales and profitability and subsequently the sale of the business to Hong Kong-based Techcomp Holdings Limited. She is currently a director of LINC Scotland Limited, the national association for business angels in Scotland, and the University of Glasgow’s GU Holdings Limited. Mary Jane is a Chartered Management Accountant and served as Regional Secretary on the board of CIMA Scotland from 2009-2011. Prior to 1997 Mary Jane worked as a management accountant for various blue-chip corporates in the UK and Continental Europe.
